Homedex

Version v2. We'll tell every agency at least 30 days before any change.

Homedex listing agreement (version v2)

This agreement is between Ink One Ltd, a company registered in England and Wales (number 17472764), registered office 33 Cornwall Gardens, Cliftonville, Margate, CT9 2JQ ("Homedex", "we"), which runs Homedex at homedex.uk and any other address it uses for Homedex, and the estate or letting agency named during sign-up ("the Agency").

1. Who can accept

  1. By ticking "I agree", you confirm that you work for the Agency and are allowed to agree to this on its behalf. Homedex checks this during sign-up (for example, that your email address is on the Agency's own website domain) and may ask for more proof.
  2. If you accept for one branch (for example, one branch of a chain or franchise), "the Agency" means that branch and its listings only. Accepting for the whole business covers all of its branches on Homedex.
  3. Everyone the Agency adds to its Homedex account acts for the Agency under this agreement.

2. What this agreement is for

Homedex is a free, open index of UK homes for sale and to let, published as web pages, a public API and a connector for AI assistants (an "MCP server"). The Agency wants its listings included. Listing is free, and stays free. If Homedex ever offers paid extras, they will be optional, need a separate agreement, and never change the free listing or the order of results.

3. What the Agency lets Homedex do

The Agency gives Homedex a non-exclusive, royalty-free permission, for as long as this agreement lasts, to:

  1. Read the property listings on the Agency's website, automatically, using the HomedexBot crawler, up to a few times a day, or receive them from a feed or file the Agency chooses to send.
  2. Copy and store the listing text, facts (price, status, bedrooms and so on), photos, floorplans and energy certificates found there.
  3. Publish them on Homedex web pages; through the Homedex public API and MCP server, which other people's apps and AI assistants use; and so that AI assistants and search engines can show, summarise and quote them in their answers, with links back.
  4. Keep cached copies so pages load quickly: in Cloudflare's edge cache, and as raw page copies for up to 30 days, kept private and used only to fix our crawler.
  5. Copy photos to our own storage if the Agency's website doesn't allow them to be shown directly. Copies are served only while the listing is live.
  6. Keep a factual history of each listing: price, status, and the dates it was listed, changed and removed. Never photos or descriptions. This history is kept after a listing sells, and after the Agency leaves.
  7. Use the facts and the history in statistics that combine many agents' listings (for example area figures), in reports to the Agency, and to train or test AI models.
  8. License the listings and the history to other organisations, free or for a fee, for example to property data companies and researchers. Photos and descriptions are licensed to others only to show alongside the listing they belong to, or for AI training under section 4. Homedex's licence requires every user to credit Homedex and link to the listing, and never to collect leads from it.
  9. Give each listing a permanent Homedex number (for example HX-TQ9-00423).

4. AI training

  1. The facts and history in section 3 can be used to train AI models, and licensed to others for that.
  2. The Agency's photos and descriptions can be used the same way, as standard, but only those the Agency owns or is allowed to license for AI training. If a photographer or anyone else owns some of the Agency's photos and hasn't allowed AI training, those photos can still be shown on Homedex (section 7.1), and the Agency should tell us so we leave them out of AI training.
  3. The Agency can opt out of AI training for all its photos and descriptions at any time by emailing agents@homedex.uk. Homedex then stops using them for it within 30 days and tells anyone it licensed them to. Opting out changes nothing else in this agreement.

5. What Homedex won't do

  1. Homedex won't use the Agency's photos or descriptions to train AI models, or let anyone else do so, after the Agency opts out or tells us it doesn't have the rights (section 4).
  2. Homedex won't take enquiries for itself. Every "view" or "contact" link goes to the Agency's own website, tagged ?ref=homedex so the Agency can see those visits.
  3. Homedex won't sell leads or personal details, and won't let others use Homedex to collect them.
  4. Homedex won't sell better placement. Results are never ranked by payment.
  5. Homedex won't copy the Agency's listings from Rightmove, Zoopla or OnTheMarket. It reads only the Agency's own website, or a feed the Agency sends.

6. Messages from home-hunters

If the Agency gives Homedex a branch email address, people can also send the Agency a message from the listing's Homedex page. Homedex checks the sender's email address, then emails the message to the Agency with the sender as the reply-to address, so the Agency replies directly. Homedex uses the message for nothing else and deletes its copy after 30 days. From then on the Agency is responsible for the sender's details, as with any enquiry. The Agency can stop these messages at any time by asking us to remove the address.

7. What the Agency confirms

  1. The Agency has the right to publish the listings, photos and floorplans on its website, and to let Homedex show them as section 3 describes. Where a photographer or other third party owns the photos, the Agency's licence allows this. For AI training, section 4.2 applies instead.
  2. The listings meet the Agency's legal duties, including material information rules. Homedex shows what the Agency publishes and doesn't correct it.
  3. Nothing in the Agency's contracts with property portals stops it from appearing on Homedex.
  4. The Agency will tell us at agents@homedex.uk if any of this stops being true.

8. Keeping listings accurate

  1. Homedex aims to show changes, including price changes and "under offer", within 24 hours of them appearing on the Agency's website.
  2. A listing removed from the Agency's website is removed from Homedex within 24 hours. Its page then says "no longer available".
  3. If Homedex shows something wrong, the Agency can email agents@homedex.uk and we'll fix or remove it within 2 working days, and the same day for a photo showing a person.

9. Leaving, pausing and ending

  1. The Agency can leave at any time, from its Homedex portal ("Leave Homedex") or by emailing agents@homedex.uk. No notice period, no cost.
  2. Within 24 hours, Homedex will stop crawling; remove the Agency's listings from its pages, API and MCP server; delete copied photos, descriptions, raw page copies and cached pages; and tell search engines the pages are gone.
  3. The factual history in section 3.6 is kept, and stays usable as described in sections 3.7 and 3.8. It never includes photos or descriptions.
  4. Copies that other people's AI assistants or search engines already fetched are outside Homedex's control and can't be recalled. Homedex tells them the pages are gone (by returning "410 Gone" and pinging IndexNow).
  5. Homedex can pause or remove any listing, or the whole Agency, at any time: for example if a listing looks wrong, a complaint needs checking, the Agency's website can't be read safely, or the Agency breaks this agreement. We'll tell the Agency why, unless the law or a safety reason stops us.
  6. Homedex can end the agreement with 30 days' notice, or straight away if the Agency seriously breaks it. Ending works as leaving does (sections 9.2 to 9.4).
  7. Sections 3.6 to 3.8 (for the history), 6, 9.3, 9.4 and 10 still apply after the agreement ends.

10. General

  1. Reports and emails. Homedex sends the Agency a monthly report of its listings on Homedex. The Agency can turn these off in the portal. Homedex's emails never promote other products, including Bright24.
  2. Liability. Homedex is provided free and "as is". Homedex's total liability to the Agency under this agreement is limited to £100. Neither side is liable to the other for indirect or consequential loss. This section doesn't limit the Agency's responsibility for claims that its listings, photos or floorplans break someone else's rights (section 7.1), and nothing limits liability that can't be limited by law.
  3. Personal data. Each side handles personal data it receives in line with UK data protection law, as a separate controller. Homedex's privacy notice is at homedex.uk/privacy.
  4. Changes. Homedex may update these terms. The Agency will be told by email at least 30 days before any change takes effect and can leave instead. A change the law requires, or one that only adds to what Homedex promises, can apply sooner. Homedex may also change how the service works (new features, formats or areas), as long as the promises in sections 5, 6 and 9 still hold.
  5. Who owns what. The Agency keeps all its rights in its listings, photos and descriptions; this agreement only gives Homedex the permission in section 3. Homedex owns its own website, numbers, statistics, history and database.
  6. Transfer. Homedex may transfer this agreement to another organisation that takes over running Homedex (for example a community interest company), and will tell the Agency first. Every promise in this agreement then binds that organisation. The Agency can transfer it to a business that takes over the Agency, by telling us.
  7. Emails count as notice. Notices under this agreement are sent by email: Homedex writes to the address on the Agency's Homedex account, and the Agency writes to agents@homedex.uk.
  8. The whole agreement. This is the whole agreement between Homedex and the Agency about listing on Homedex. If a court finds part of it invalid, the rest still applies. Only Homedex and the Agency can enforce it. It doesn't make either side the other's partner or agent.
  9. Law. This agreement is governed by the law of England and Wales, and its courts decide any dispute.
